About the Role :

We are looking for an experienced (4 or more years), service-oriented and practical Commercial Counsel to join our growing legal team, reporting to one of our Senior Directors of Legal. This role will focus on (i) M&A integration, (ii) supporting our product and engineering teams, and (iii) software licensing and commercial support. The attorney should be ready to dive in and manage all aspects of M&A integration from a commercial and product standpoint, including performing diligence on target company products and agreements, creating and modifying form agreements, and providing legal support and guidance necessary to run the business post-acquisition. You must also be willing, able, and excited about the opportunity to dive into all aspects of commercial activity – negotiating and closing complex OEM, vendor, customer, channel, and business development agreements. This role will also help support many other legal functions within a fast paced and rapidly growing technology company.

What You’ll Do:

Conduct diligence on M&A targets from the legal transactional and product perspective, including identifying and mitigating risks in commercial agreements, products and go-to market.

Lead legal integration of acquired technology and entities, including creating and modifying form agreements and providing legal support and guidance necessary to run the business and sell technology post-acquisition.

Prepare, review, and negotiate complex agreements including inbound and outbound licensing and OEM agreements, software licensing, software-as-a-service, co-marketing, strategic alliances, professional and hosted services, and services contracts on an as needed basis as part of a team

Work alongside our Privacy team to gather information on, understand and analyze data flows and product functionality to assist with determining privacy, regulatory and contractual implications

Help scale the Legal Team by developing innovative processes to support the fast-moving Engineering, Product/Design, and Commercial teams

Prepare, draft and manage end-user license agreements, terms of service, and acceptable use policies for a wide variety of software products and services

Understand and advise on strategic initiatives, product roadmap and release cycles of product features and functions, and end of life

Brief senior attorneys on issues and collaborate with other team members to provide sound legal options to decision makers

What You’ll Need:

Juris Doctorate (J.D.) degree from an accredited U.S. Law School.

Active admission to a State Bar.

4+ years of experience drafting and negotiating a wide range of commercial contracts, with strong attention to detail. A combination of law firm and in-house experience preferred.

Experience with M&A and M&A integration.

Experience relating to software licensing for cloud-based providers.

Experience supporting complex indirect sales channels, particularly those involving technological integrations. Experience with drafting and negotiating data privacy and data security documents.

Excellent interpersonal, verbal and written communication skills.

Strong drafting and negotiation skills along with excellent business judgment and critical thinking skills.

A strong interest and capability in collaborating with both legal and non-legal colleagues.

Ability to manage multiple competing priorities in a fast-paced environment with a “roll up your sleeves” attitude, team-oriented mentality and a sense of humor.
